Terms of Service
These Terms of Service ("Terms") form a legally binding agreement between you (or the business you represent) and SocialEngine ("SocialEngine," "we," "us," or "our"), governing your access to and use of our website at socialengine.agency and our AI-powered social media management platform (collectively, the "Service"). Please read these Terms carefully before subscribing. By creating an account or using the Service, you accept these Terms in full.
1. Eligibility and Account Registration
1.1 Eligibility
You must be at least 18 years old and capable of entering into a legally binding contract to use the Service. If you are accessing the Service on behalf of a business, you represent and warrant that you have authority to bind that business to these Terms, and references to "you" include that business.
1.2 Account Registration
To access the Service, you must register for an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@socialengine.agency if you suspect unauthorized access to your account.
1.3 One Account Per Subscription
Each subscription is associated with a single account holder. You may not share account credentials with third parties or use a single subscription to manage accounts on behalf of multiple businesses unless you are subscribed to a plan that explicitly permits multi-seat or agency use.
2. The Service
2.1 Description
SocialEngine is an AI-powered social media management platform that provides, depending on your subscription plan:
- AI-generated social media content tailored to your brand voice, industry, and audience
- Automated scheduling and publishing of content across connected social media platforms
- Performance analytics, engagement reporting, and audience insights
- Strategy recommendations based on account performance data
2.2 AI-Generated Content
You acknowledge and agree that content published to your social media accounts through SocialEngine is generated by artificial intelligence. While we design our AI to produce on-brand, accurate, and platform-appropriate content:
- You are responsible for all content published to your accounts. Before enabling fully automated publishing, you should review sample content to ensure it meets your standards.
- AI-generated content may occasionally contain errors, inaccuracies, or outputs that do not align with your expectations. SocialEngine does not guarantee that any specific piece of content will achieve a particular result.
- You may request revisions or provide additional brand guidelines at any time through your account settings or by contacting your account manager.
- SocialEngine is not liable for any reputational, financial, or other harm arising from AI-generated content published to your accounts.
2.3 Social Media Platform Compliance
You are responsible for ensuring your use of the Service complies with the terms of service and community guidelines of each social media platform where content is published. SocialEngine will not post content that we reasonably believe violates platform rules, but we do not guarantee compliance with every platform policy, which may change without notice. If a social media platform restricts, suspends, or terminates your account, SocialEngine is not liable for that outcome.
3. Social Media Account Access
3.1 Authorization
To provide the Service, you must authorize SocialEngine to access your social media accounts via each platform's official OAuth authorization flow. By granting this authorization, you give SocialEngine permission to:
- Read your account profile, audience data, and historical posts
- Create, schedule, edit, and publish posts on your behalf
- Access analytics, insights, and engagement data associated with your accounts
- Respond to or manage content as configured by your account settings
3.2 Scope of Access
SocialEngine requests only the permissions necessary to deliver the Service. We do not access private messages, personal communications, or data beyond what is required for social media management and analytics. You may revoke our access at any time, both within SocialEngine's platform and directly through each social media platform's settings. Revoking access will prevent us from publishing content or retrieving analytics for the affected accounts.
3.3 Account Ownership
You represent and warrant that you own or have full legal authority to manage each social media account you connect to the Service. You must not connect accounts belonging to others without their explicit authorization.
4. Subscriptions, Billing, and Free Trial
4.1 Free Trial
New customers may access the Service on a 7-day free trial. No credit card is required to start the trial unless specified at sign-up. At the end of the trial period, your account will be automatically moved to your selected paid plan unless you cancel before the trial expires. Trial accounts are limited to one per person or business — creating multiple accounts to obtain additional free trials is prohibited.
4.2 Subscription Plans
SocialEngine offers monthly and annual subscription plans. Current pricing and plan details are available on our pricing page. Annual subscriptions are billed in full at the start of each billing cycle and carry a discounted rate compared to monthly billing.
4.3 Billing
By subscribing to a paid plan, you authorize SocialEngine (via our payment processor, Stripe) to charge your payment method on a recurring basis at the start of each billing period. Subscriptions renew automatically unless cancelled before the renewal date. You will receive a receipt via email for each charge.
4.4 Price Changes
We may change subscription prices from time to time. We will provide at least 30 days' advance notice of any price increase via email. If you do not agree to the new pricing, you may cancel your subscription before the price change takes effect. Your continued use of the Service after the price change constitutes acceptance of the new price.
4.5 Cancellation
You may cancel your subscription at any time from your account settings or by emailing hello@socialengine.agency. Upon cancellation:
- Your subscription remains active through the end of the current paid billing period.
- No further charges will be made after the current period ends.
- Access to the Service will be suspended at the end of the paid period.
- Scheduled posts that fall after the subscription end date will not be published.
4.6 Refund Policy
Monthly subscriptions are non-refundable once a billing period has started. For annual subscriptions, we offer a pro-rated refund for unused months if you cancel within 30 days of your annual renewal date. Free trial periods are not eligible for refunds. We reserve the right to issue refunds at our discretion in exceptional circumstances.
4.7 Failed Payments
If a payment fails, we will retry the charge up to three times over seven days. If payment is not received, your account may be suspended. You are responsible for keeping your payment information up to date. Account suspension due to failed payment does not constitute a waiver of amounts owed.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to:
- Post content that is unlawful, defamatory, harassing, fraudulent, or infringes the intellectual property rights of any third party
- Disseminate spam, misleading information, or deceptive advertising
- Impersonate another person or entity, or misrepresent your affiliation with a person or organization
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service or any connected systems
- Use automated bots, scripts, or other means to access the Service beyond the functionality we provide
- Violate any applicable law, regulation, or third-party rights
- Promote illegal activities, hate speech, or discrimination based on protected characteristics
SocialEngine reserves the right to suspend or terminate accounts that violate these acceptable use standards without refund.
6. Intellectual Property
6.1 Your Content
You retain all ownership rights to your brand assets, logos, images, and any original content you provide to SocialEngine. By providing such materials, you grant SocialEngine a limited, non-exclusive, royalty-free license to use them solely to provide the Service to you.
6.2 AI-Generated Content Ownership
Content generated by SocialEngine's AI on your behalf and published to your accounts is assigned to you. SocialEngine does not assert copyright or ownership over AI-generated content created specifically for your account. You are free to repurpose, edit, or archive such content as you wish.
6.3 SocialEngine Platform
The SocialEngine platform, including its software, algorithms, user interface, design, documentation, and all associated intellectual property, is owned exclusively by SocialEngine and protected by copyright, trademark, and other applicable laws. These Terms do not grant you any rights in the SocialEngine platform beyond the limited right to use the Service during your subscription.
6.4 Feedback
If you submit suggestions, ideas, or feedback about the Service, you grant SocialEngine a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
7. Confidentiality
Each party agrees to keep the other's non-public business information confidential and not to disclose it to third parties without prior written consent, except as required by law. SocialEngine will treat your brand guidelines, business information, and account credentials as confidential. This obligation survives termination of these Terms for a period of two (2) years.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SOCIALENGINE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF CONTENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SPECIFIC RESULTS WILL BE ACHIEVED FROM USE OF THE SERVICE.
In particular, SocialEngine makes no warranties regarding:
- The performance, reach, engagement, or growth of your social media accounts
- The accuracy, completeness, or appropriateness of any AI-generated content
- Continued availability of integrations with third-party social media platforms
- The results of any social media strategy or content approach
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOCIALENGINE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SocialEngine's total aggregate liability to you for any claim arising out of or related to these Terms or the Service will not exceed the greater of:
- The total fees paid by you to SocialEngine in the 12 months immediately preceding the event giving rise to the claim, or
- One hundred U.S. dollars (USD $100).
These limitations apply regardless of the theory of liability (contract, tort, warranty, or otherwise) and even if a limited remedy fails its essential purpose. Some jurisdictions do not allow certain liability limitations — in such cases, the limitation will apply to the fullest extent permitted by law.
10. Indemnification
You agree to defend, indemnify, and hold harmless SocialEngine and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service or violation of these Terms
- Content published to your social media accounts through the Service
- Your violation of any third-party rights, including intellectual property or privacy rights
- Your violation of any social media platform's terms of service
- Any claim that your brand assets or materials infringe a third party's intellectual property
11. Term and Termination
11.1 Term
These Terms are effective from the date you create an account and continue until your subscription is terminated.
11.2 Termination by You
You may cancel your subscription and close your account at any time as described in Section 4.5.
11.3 Termination by SocialEngine
SocialEngine may suspend or terminate your account immediately, without notice or refund, if:
- You violate these Terms or our Acceptable Use Policy
- We reasonably believe your use of the Service poses a legal, reputational, or security risk
- You fail to pay fees when due after notice and a cure period
- We are required to do so by law or court order
11.4 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Sections 6, 7, 8, 9, 10, 11.4, 12, 13, and 14 survive termination of these Terms.
12. Modifications to the Service and Terms
12.1 Changes to the Service
SocialEngine may modify, add, or remove features of the Service at any time. We will provide reasonable notice of material changes that significantly reduce the Service's core functionality. If changes materially diminish the Service, you may cancel your subscription and receive a pro-rated refund for unused time.
12.2 Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must cancel your subscription before the effective date.
13. Governing Law and Disputes
13.1 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. If you are a consumer located in the EU or UK, you also benefit from any mandatory consumer protection laws that apply in your jurisdiction.
13.2 Informal Resolution
Before initiating any formal legal proceeding, both parties agree to attempt to resolve disputes informally by contacting hello@socialengine.agency. We will make a good-faith effort to resolve the issue within 30 days.
13.3 Binding Arbitration
If informal resolution fails, any dispute arising out of or relating to these Terms or the Service (other than claims for injunctive relief) will be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA). The arbitration will be conducted in English. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
13.4 Class Action Waiver
To the extent permitted by law, you and SocialEngine waive the right to bring or participate in any class action, class arbitration, or representative proceeding. This waiver does not apply to users in jurisdictions where class action waivers are not permitted.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any order form or subscription confirmation, constitute the entire agreement between you and SocialEngine regarding the Service and supersede all prior agreements, representations, and understandings.
14.2 Severability
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
14.3 Waiver
SocialEngine's failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of SocialEngine to be effective.
14.4 Assignment
You may not assign or transfer your rights under these Terms without SocialEngine's prior written consent. SocialEngine may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets, with notice to you.
14.5 Force Majeure
SocialEngine will not be liable for any failure or delay in performance of the Service caused by circumstances beyond our reasonable control, including internet outages, social media platform API disruptions, natural disasters, acts of government, or labor disputes.
14.6 No Third-Party Beneficiaries
These Terms do not confer any rights on third parties. Only you and SocialEngine are parties to these Terms.
